Our Constitution defines who we are and what we stand for. It establishes the foundation for our work — reflecting Elder Bloom’s commitment to supporting older adults and caregivers in Kamloops with compassion, dignity, and purpose.

Our purposes are to

  1. Operate a nonprofit wellness and therapeutic day centre that supports older adults in Kamloops and surrounding communities through structured, person-centred day programming.

  2. Provide inclusive and accessible wellness services that nurture emotional, physical, cognitive, and social well-being for seniors — including those living with illness, disability, or isolation.

  3. Support aging in place by offering assistance with daily living activities, nutritious meals, and meaningful respite for family caregivers.

  4. Promote dignity, purpose, and connection through community-based therapeutic recreation, health education, and holistic wellness programming.

  5. Collaborate with families, caregivers, and community partners to strengthen local supports and improve quality of life for older adults.

  6. Advocate for equitable access to wellness and recreation opportunities that empower seniors to remain active, engaged, and valued members of their community.

Our Constitusion

Our Bylaws are the framework for how Elder Bloom Wellness Society operates. They promote accountability, inclusivity, and transparent decision-making — ensuring that the Society remains community-driven and ethically governed.

Here’s a simple overview of what they cover:

Membership

  • Elder Bloom has members who support our purposes.

  • Members can vote at annual and special meetings.

  • Supporters (non-voting) are welcome to engage and contribute in other ways.

Meetings

  • We hold an Annual General Meeting (AGM) each year.

  • Special meetings can be called if important decisions are needed.

  • Meetings can be attended in person or electronically (phone, video, etc.).

  • Members get notice before meetings, but they can agree to waive notice if everyone consents.

Board of Directors

  • We must have at least three directors.

  • Directors are elected for two-year terms at the AGM.

  • The board provides oversight and makes big-picture decisions, while day-to-day operations are managed by staff.

  • Directors can also be employed by the Society, but they cannot vote on decisions about their own employment or pay.

Executive Director

  • The Board may appoint an Executive Director to manage daily operations.

  • The Executive Director reports to the Board and may also serve as a Director, following conflict-of-interest rules.

Decision-Making

  • Most decisions are made by ordinary resolution (a simple majority).

  • Some important changes, like amending bylaws, require a special resolution (two-thirds majority).

  • Directors and members can meet and vote electronically.

Finances & Records

  • The Society has a fiscal year and must prepare financial statements annually.

  • The Board sets signing authorities for banking.

  • Members can request to see Society records as permitted under the BC Societies Act.

Dissolution

  • If Elder Bloom Wellness Society ever winds up, all remaining assets must go to another registered charity or qualified nonprofit in Canada with similar purpose.
